2. Website Use

You agree to use this website only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the website.

You must not:

  • Attempt to gain unauthorised access to systems, servers or networks connected to the website
  • Interfere with or disrupt the operation or security of the website
  • Upload, distribute or transmit malicious code, malware or harmful software
  • Use the website or Services for unlawful, fraudulent or harmful activities
  • Attempt to obtain or use information, systems or services without appropriate authorisation
  • Copy, reproduce or exploit website content other than as permitted by law or with our written permission.

We reserve the right to suspend or restrict access to the website where misuse, security concerns or unlawful activity is suspected.

3. Products and Hardware

Where Ten Technology supplies physical hardware or equipment, the products supplied will be identified in the applicable quotation, proposal, order or agreement.

Product images, specifications, dimensions, performance information and other technical information published on our website or in marketing materials are provided for general guidance and may be subject to change by the relevant manufacturer.

Where reasonably necessary, and unless the contract expressly states otherwise, Ten Technology may supply an equivalent or alternative product where the specified product is unavailable, discontinued or subject to manufacturer or supply-chain changes, provided that the alternative is reasonably comparable in functionality and specification.

Manufacturer product specifications, availability, warranties and support arrangements may change without notice and are outside Ten Technology’s direct control.

Unless expressly agreed otherwise in writing, Ten Technology does not manufacture the hardware supplied to customers.

4. Quotations, Orders and Acceptance

Quotations provided by Ten Technology are subject to availability and may be withdrawn or amended before acceptance.

A quotation does not constitute acceptance of an order unless expressly stated otherwise.

An order or engagement will only be binding when accepted by Ten Technology in accordance with the applicable quotation, proposal, order form, contract or other written agreement.

Any estimated delivery, installation or completion dates are provided in good faith and are not guaranteed unless expressly agreed in writing as contractual dates.

Changes requested by a client after acceptance may result in additional costs, revised delivery dates or both.

5. Delivery and Installation

Where Ten Technology is responsible for delivery or installation, the applicable quotation or agreement will specify the scope of those services.

The client is responsible for ensuring that the installation site is reasonably suitable and ready for the agreed works, including where applicable:

  • Suitable access to the premises
  • Appropriate power supplies
  • Suitable network connectivity
  • Appropriate mounting surfaces and structural conditions
  • Required permissions and landlord approvals
  • Suitable environmental conditions
  • Access to lifts, loading areas and other relevant facilities
  • Availability of appropriate personnel and site contacts
  • Any necessary building, electrical, structural or other approvals not expressly included within our scope.

Unless expressly agreed otherwise, Ten Technology is not responsible for delays, additional costs, damage or inability to complete installation arising from unsuitable site conditions, inaccurate information supplied by the client, lack of access, third-party works or circumstances outside our reasonable control.

Where additional works are required to complete an installation safely or in accordance with applicable requirements, Ten Technology may notify the client and agree additional charges before carrying out such works.

The client must ensure that any existing infrastructure or equipment upon which our installation depends is suitable and operational unless assessment, remediation or replacement of that infrastructure forms part of our agreed scope.

6. Installation, Configuration and Commissioning

Ten Technology will carry out installation, configuration and commissioning services with reasonable skill and care.

Unless expressly included within the agreed scope, installation does not include:

  • Building or structural works
  • Electrical works
  • Specialist cabling works
  • Asbestos removal
  • Making good, decoration or redecoration
  • Specialist lifting equipment
  • Out-of-hours works
  • Removal or disposal of existing equipment
  • Rectification of defective pre-existing infrastructure.

Where such works are required, they may be provided subject to a separate quotation or through an appropriate third-party contractor.

Following installation or commissioning, the client may be required to inspect and accept the installed system in accordance with the applicable agreement.

Where a client uses the system following installation without raising a material defect within a reasonable period, the system may be treated as having been accepted, subject always to any applicable statutory rights and express contractual warranty provisions.

7. Hardware Risk and Title

Unless otherwise specified in the applicable agreement, risk in physical goods will pass to the client upon delivery to the agreed delivery location.

Title to goods supplied by Ten Technology will pass to the client only when Ten Technology has received payment in full for those goods and any other sums properly due in respect of the relevant transaction, to the extent permitted by law.

Until title has passed, the client must take reasonable care of the goods and must not sell, dispose of or otherwise deal with them in a manner inconsistent with Ten Technology’s ownership.

Where goods are supplied directly by a third party or manufacturer, the applicable third-party terms may also apply.

8. Hardware Warranties and Defects

Where hardware is supplied by Ten Technology, any manufacturer’s warranty applicable to that hardware will normally be passed to the client where the relevant warranty permits this.

Unless expressly stated otherwise in writing, Ten Technology does not provide a manufacturer’s warranty in place of the manufacturer’s own warranty.

Ten Technology may, where appropriate, assist the client in dealing with a manufacturer or supplier in relation to warranty claims, but is not responsible for the acts, omissions, delays, decisions or warranty policies of third-party manufacturers or suppliers.

Nothing in these Terms excludes or limits any statutory rights that cannot lawfully be excluded.

9. Maintenance and Support

Where Ten Technology provides maintenance, support or managed Services, the scope and service levels will be defined in the applicable service agreement, proposal or statement of work.

Maintenance may include preventative maintenance, reactive support, remote monitoring, diagnostics, firmware updates, configuration changes, reporting and other agreed activities.

Unless expressly included in the applicable agreement, maintenance does not automatically include:

  • Replacement hardware
  • Consumables
  • Batteries
  • Damage caused by misuse, accidental damage or unauthorised modification
  • Damage caused by third-party equipment or infrastructure
  • Damage caused by environmental conditions
  • Relocation or reinstallation
  • Upgrades or product replacements
  • Software or licence fees imposed by third parties
  • Remediation of issues outside the agreed service scope.

Where replacement equipment or additional works are required, these may be chargeable unless expressly covered by the applicable agreement.

10. Client Responsibilities

The client is responsible for providing accurate information and reasonable cooperation necessary for Ten Technology to deliver the agreed products and Services.

The client must ensure that:

  • It has authority to instruct Ten Technology to carry out the agreed works
  • It has the necessary rights and permissions relating to the premises, systems and data involved
  • Information supplied to Ten Technology is accurate and complete
  • Appropriate access is provided where required
  • Required client-side infrastructure is available and operational
  • Its users comply with applicable security, licensing and usage requirements
  • It maintains appropriate backups of its systems and data where relevant.

Ten Technology will not be responsible for failures or delays caused by inaccurate information, failure to provide access or cooperation, unsuitable infrastructure or other matters within the client’s reasonable control.

11. Client Data and Data Protection

Where Ten Technology provides Services involving the processing, monitoring or analysis of client-provided data, the client is responsible for ensuring that:

  • It has the legal right to provide the data to Ten Technology
  • The data is accurate and lawful to process
  • Any required permissions, notices or consents have been obtained
  • It has complied with its obligations under applicable data protection legislation.

Ten Technology will process personal data in accordance with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018, and in accordance with any applicable data processing agreement.

Where Ten Technology acts as a processor on behalf of a client, the parties will comply with the applicable data processing terms.

12. Data Insights and Decision Making

Ten Technology Services may provide monitoring information, analytics, reports, dashboards, recommendations or other insights intended to support organisational decision-making.

Such information is provided as an aid to decision-making and does not constitute a guarantee of business, financial, operational or strategic outcomes.

Unless expressly agreed otherwise in writing, Ten Technology does not warrant that analytics, recommendations, reports or insights will be complete, error-free or suitable for every particular purpose.

The client remains responsible for decisions made using information, recommendations or insights provided by Ten Technology.

13. Software, Licences and Third-Party Platforms

Our Services may incorporate software, cloud services, operating systems, applications, licences, platforms or other products provided by third parties.

Use of such products may be subject to the relevant third party’s terms, licences and policies.

Unless expressly agreed otherwise, Ten Technology is not responsible for changes, suspension, termination, outages, defects or failures affecting third-party products or services that are outside our reasonable control.

Where third-party licences or subscriptions are required, the client is responsible for paying applicable fees unless those fees are expressly included within the agreed Ten Technology charges.

14. Financing

Ten Technology may introduce or facilitate access to financing options through independent third-party finance providers.

Any finance arrangement is subject to the finance provider’s own application process, credit assessment, approval criteria, terms and documentation.

Ten Technology does not guarantee that a finance application will be approved and is not responsible for a finance provider’s decision to approve, decline, amend or withdraw financing.

Unless expressly agreed otherwise in writing, the finance agreement is a separate agreement between the client and the relevant finance provider.

The client’s obligations under any finance agreement, including payment obligations, remain governed by the terms of that finance agreement.

Ten Technology is not responsible for the finance provider’s actions, omissions, systems, decisions, charges or contractual terms.

15. Prices, Payment and Taxes

Prices and payment terms will be set out in the applicable quotation, proposal, order, contract or service agreement.

Unless expressly stated otherwise, prices are exclusive of applicable VAT and other applicable taxes or charges.

Where a deposit, advance payment or staged payment is required, this will be specified in the applicable commercial agreement.

The client agrees to pay all properly invoiced amounts by the applicable due date.

Ten Technology reserves the right, subject to the applicable agreement and applicable law, to suspend Services or withhold further delivery where undisputed payment obligations are not met.

16. Cancellation, Changes and Additional Costs

Once an order for hardware, software, installation or Services has been accepted, cancellation or material changes may result in charges being payable by the client.

Such charges may include, where reasonably applicable:

  • Costs already incurred
  • Non-refundable supplier or manufacturer charges
  • Restocking or cancellation fees
  • Bespoke equipment costs
  • Third-party licence or subscription charges
  • Labour and installation costs
  • Reasonable administrative costs
  • Costs arising from changes to agreed delivery or installation arrangements.

Any cancellation rights applicable to a particular engagement will be governed by the applicable contract and applicable law.

17. Intellectual Property

All content, materials, designs, software, branding, documentation, methodologies, processes, analytics methodologies and other intellectual property provided through the website or Services remain the property of Ten Technology or its licensors unless otherwise agreed in writing.

Nothing in these Terms transfers ownership of Ten Technology’s pre-existing intellectual property to the client.

Subject to payment of applicable fees and the terms of the relevant agreement, Ten Technology grants the client the rights necessary to use the deliverables for the purpose for which they were supplied.

The client must not copy, reproduce, distribute, modify, reverse engineer or commercially exploit Ten Technology’s intellectual property except where expressly permitted by law or with our prior written permission.

18. Confidentiality

Each party will treat confidential information received from the other party as confidential and will take reasonable steps to prevent unauthorised disclosure.

This obligation does not apply to information that:

  • Is or becomes publicly available other than through a breach of confidentiality
  • Was already lawfully known to the receiving party
  • Is independently developed without use of confidential information
  • Is lawfully received from a third party without confidentiality obligations
  • Must be disclosed by law, regulation or a competent authority.

19. Service Availability

Ten Technology aims to provide reliable Services but does not guarantee uninterrupted or error-free operation unless expressly agreed otherwise in a specific service level agreement.

Services may be unavailable or affected by maintenance, technical issues, telecommunications failures, power failures, cyber incidents, third-party services, supplier failures or circumstances beyond our reasonable control.

We will make reasonable efforts to minimise disruption where reasonably practicable.

20. Events Outside Our Reasonable Control

Ten Technology will not be liable for delay or failure to perform its obligations to the extent caused by circumstances outside its reasonable control.

Such circumstances may include, without limitation:

  • Manufacturer or supplier delays
  • Global or regional supply-chain disruption
  • Product shortages or discontinuation
  • Transport or logistics disruption
  • Network or telecommunications failures
  • Power failures
  • Cyber incidents
  • Industrial disputes
  • Fire, flood or other natural events
  • Government action or restrictions
  • War, terrorism or civil unrest
  • Pandemic or public health emergencies
  • Failure of third-party services
  • Other events which could not reasonably have been prevented or avoided.

Where such circumstances materially affect delivery, Ten Technology may agree revised delivery dates or alternative arrangements with the client.

21. Limitation of Liability

Nothing in these Terms excludes or restricts liability to the extent that such exclusion or restriction would be unlawful.

Subject to the above, Ten Technology shall not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of opportunity, loss of goodwill or reputational damage arising from or in connection with the website, products or Services.

Ten Technology shall not be responsible for loss or corruption of data where the client has failed to maintain appropriate backups or where the loss results from circumstances outside Ten Technology’s reasonable control.

Subject to applicable law and any mandatory liability that cannot lawfully be limited, Ten Technology’s total aggregate liability arising out of or in connection with a particular engagement shall not exceed the amount paid or payable by the client to Ten Technology under the relevant agreement during the twelve (12) months preceding the event giving rise to the claim.

Different liability limits may apply where expressly agreed in a specific written contract or service agreement.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability which cannot legally be excluded or limited.

22. No Guarantee of Business Outcomes

Unless expressly agreed otherwise in writing, Ten Technology does not guarantee that the provision of any product or Service will achieve a particular financial, operational, productivity, performance or business outcome.

Technology performance may depend on factors outside Ten Technology’s control, including client infrastructure, user behaviour, third-party systems, network performance, software configuration and manufacturer specifications.

23. Third-Party Suppliers and Contractors

Ten Technology may use manufacturers, distributors, subcontractors, installation partners, logistics providers, finance providers and other third parties in delivering products and Services.

We will remain responsible for our contractual obligations to the extent provided in the applicable agreement, but we are not responsible for matters outside our reasonable control arising from third parties.

Where a third party provides services directly to the client under a separate contract, the client’s relationship with that third party will be governed by the third party’s applicable terms.

24. Suspension or Termination

Ten Technology may suspend or terminate access to the website or, subject to the applicable agreement and applicable law, suspend or terminate Services where:

  • The client materially breaches its contractual obligations
  • Payment obligations remain outstanding
  • Continued provision of Services creates a material security or operational risk
  • The client uses the Services unlawfully
  • The client becomes insolvent or subject to relevant insolvency proceedings.

Termination or suspension will be subject to any specific termination provisions contained within the applicable client agreement.

Termination will not affect rights or obligations that accrued before termination.

25. Relationship with Service Agreements

Where Ten Technology enters into a separate quotation, proposal, order, contract, statement of work, service agreement or other written agreement with a client, that agreement will take precedence over these website Terms to the extent of any conflict.

Where specific service terms, hardware supply terms, maintenance terms or finance arrangements apply, those specific terms will govern the relevant transaction.

26. Changes to These Terms

Ten Technology may update these Terms from time to time to reflect changes to our website, Services, legal requirements or business practices.

Updated versions will be published on this page with a revised effective date.

Changes to these website Terms will not retrospectively amend or override the terms of a separate contract already entered into with a client unless expressly agreed in writing.

27. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.

Subject to any mandatory applicable legal requirements, the courts of England and Wales shall have exclusive jurisdiction in relation to any dispute or claim arising out of or in connection with these Terms.
